IP & Ownership
Client-Owned Deliverables
Upon receipt of full payment for a project or milestone, Arcadia transfers to the Client all ownership rights, copyright, and title to the final deliverables specifically created for that project. These are considered "work made for hire." Prior to full payment, Arcadia retains ownership of all deliverables.
Arcadia-Retained IP
Arcadia retains all ownership rights to our pre-existing intellectual property, methodologies, frameworks, proprietary tools, and source code libraries that we use across multiple clients. When these are incorporated into your deliverables, we grant you a non-exclusive, worldwide, royalty-free license to use them as part of the deliverable.
Third-Party Assets
Projects often incorporate third-party assets (e.g., stock photography, typography, open-source libraries, plugins). The Client is responsible for maintaining the appropriate licenses for these assets. Arcadia will identify third-party assets and assist with licensing where requested, but ownership remains with the respective third-party licensors.
Open Source
Arcadia supports the open-source community. Deliverables may include open-source software (OSS). Client's rights to OSS components are governed by their respective open-source licenses (e.g., MIT, Apache 2.0).
Portfolio Rights
Unless subject to a specific Non-Disclosure Agreement (NDA), Arcadia reserves the right to display completed projects in our portfolio, on our website, on social media, and in marketing materials to demonstrate our expertise. We will always respect confidentiality regarding sensitive business logic, unreleased products, or private data.
Transfer of Rights
The transfer of intellectual property rights is contingent upon the complete payment of all outstanding invoices related to the project. Arcadia may withhold transfer of source files until final payment is cleared.
