Consulting Terms

Engagement

All Arcadia Consulting engagements are governed by our Master Service Agreement and the applicable Statement of Work (SOW). These Consulting Terms provide additional detail on how projects are managed.

Client Responsibilities

A successful engagement requires active participation from the client. Client agrees to:

  • Designate a primary point of contact with authority to approve deliverables
  • Provide required materials, access, and feedback within agreed timelines
  • Attend scheduled review sessions and respond to requests within 5 business days
  • Ensure that all materials provided to Arcadia are legally authorized for use

Delays caused by Client may result in timeline adjustments and additional fees at our standard rates.

Deliverables

Deliverables are defined in the SOW. Arcadia will deliver work in the formats and at the milestones specified. Deliverables are provided for Client review and are not final until approved in writing.

Approval Process

Client has 5 business days to review each deliverable. If no feedback is provided within this window, the deliverable is deemed approved. Written approval (email is acceptable) is required before Arcadia proceeds to the next project phase.

Revision Limits

Each project phase includes two (2) rounds of revisions within the agreed scope. Revisions requested beyond this allowance, or revisions that change the project scope, will be scoped and billed as a Change Order at our current hourly rate.

Scope changes that materially alter the project will require an updated SOW.

Timelines

Timelines are established in the SOW and are contingent on timely Client feedback and delivery of required materials. Arcadia will notify Client promptly if a timeline is at risk. Force majeure events may extend timelines without penalty.

Cancellation

Projects may be cancelled with 14 days written notice. Upon cancellation, Client will be invoiced for:

  • All work completed through the cancellation date
  • All third-party costs incurred and committed on Client's behalf
  • A cancellation fee of 20% of the remaining unbilled project fees

Monthly retainers may be cancelled with 30 days written notice. No cancellation fee applies to retainers after the minimum term.

Refunds

Upfront payments are generally non-refundable once work has commenced. If Arcadia is unable to begin or continue work through no fault of the Client, a prorated refund of unused prepaid fees will be issued.
